Les présentes Conditions d’utilisation constituent un accord juridiquement contraignant conclu entre vous, en votre nom propre ou au nom d’une entité (ci-après « vous »), et Paris My Way (ci-après « la Société », « nous », « notre » ou « nos »), concernant votre accès et votre utilisation du site internet https://parismyway.com, ainsi que toute autre forme de média, canal de communication, site mobile ou application mobile y étant associé ou lié (collectivement, le « Site »). Nous sommes enregistrés en France et notre siège social est situé au 53, Elysée 2, La Celle Saint Cloud 78170. Notre numéro de TVA est FR89452443948.

En accédant au Site, vous acceptez d’avoir lu, compris et accepté d’être lié par ces Conditions d’utilisation. SI VOUS N’ACCEPTEZ PAS L’ENSEMBLE DE CES CONDITIONS, VOUS ÊTES EXPRESSÉMENT INTERDIT D’UTILISER LE SITE ET DEVEZ CESSER SON UTILISATION IMMÉDIATEMENT.

Ils sont protégés par les lois sur le droit d’auteur, les marques commerciales et d’autres lois relatives à la propriété intellectuelle et à la concurrence déloyale.

Votre utilisation du Site ne violera aucune loi ou réglementation applicable.

4. INSCRIPTION DE L’UTILISATEUR

Il se peut que vous deviez vous inscrire sur le Site. Vous vous engagez à garder votre mot de passe confidentiel et serez responsable de toute activité effectuée avec votre compte. Nous nous réservons le droit de supprimer, récupérer ou modifier un nom d’utilisateur si nous estimons qu’il est inapproprié, obscène ou autrement répréhensible.

Tous les services sont proposés sous réserve de leur disponibilité. Nous nous réservons le droit d’interrompre tout service à tout moment et pour toute raison. Les prix des services sont susceptibles de changer.

6. ACHATS ET PAIEMENT

Nous nous réservons le droit de corriger toute erreur dans les prix, même après réception du paiement. Nous pouvons également refuser toute commande à notre seule discrétion, notamment celles passées par des revendeurs ou distributeurs.

7. POLITIQUE DE REMBOURSEMENT

Toutes les ventes sont finales et aucun remboursement ne sera accordé.

8. ACTIVITÉS INTERDITES

Interférer avec le fonctionnement du Site ou surcharger le réseau et les services connectés au Site.

Harceler, intimider ou menacer nos employés ou agents.

Copier ou adapter le logiciel du Site, sauf autorisation légale.

Déchiffrer, décompiler ou désassembler tout logiciel du Site.

Utiliser des systèmes automatisés non autorisés pour interagir avec le Site.

Utiliser un agent d’achat pour effectuer des transactions sur le Site.

Collecter des informations des utilisateurs pour envoyer des e-mails non sollicités.

Utiliser le Site pour concurrencer notre entreprise ou pour toute activité commerciale non approuvée.

Publier des publicités ou vendre des produits et services via le Site.

9. CONTRIBUTIONS DES UTILISATEURS

Le Site n’offre pas aux utilisateurs la possibilité de soumettre ou de publier du contenu. Nous pouvons toutefois vous donner l’opportunité de créer, soumettre, publier, afficher, transmettre, exécuter, distribuer ou diffuser du contenu et des documents à notre intention ou sur le Site, y compris, mais sans s’y limiter, des textes, écrits, vidéos, enregistrements audio, photographies, graphiques, commentaires, suggestions, informations personnelles ou tout autre matériel (collectivement, les « Contributions »). Vous disposez du consentement écrit, de la décharge et/ou de l’autorisation de chaque personne identifiable figurant dans vos Contributions pour utiliser son nom ou son image afin de permettre l’inclusion et l’utilisation de vos Contributions de toute manière envisagée par le Site et les présentes Conditions d’utilisation.

Vos Contributions ne sont ni fausses, ni inexactes, ni trompeuses.

Vos Contributions ne constituent pas de la publicité non sollicitée ou non autorisée, du matériel promotionnel, des systèmes pyramidaux, des chaînes de lettres, du spam, des envois de masse ou d’autres formes de sollicitation.

Vos Contributions ne sont pas obscènes, indécentes, lubriques, immorales, violentes, harcelantes, diffamatoires, calomnieuses ou autrement répréhensibles (selon notre appréciation).

Vos Contributions ne tournent pas en dérision, ne ridiculisent pas, ne dénigrent pas, n’intimident pas et n’abusent pas d’autrui.

Vos Contributions ne sont pas utilisées pour harceler ou menacer (au sens juridique de ces termes) une autre personne ni pour promouvoir la violence contre une personne ou un groupe de personnes.

Vos Contributions ne violent aucune loi, réglementation ou règle applicable.

Vos Contributions ne portent pas atteinte aux droits à la vie privée ou aux droits de publicité d’un tiers.

Vos Contributions ne violent aucune loi applicable concernant la pornographie infantile ou toute autre loi visant à protéger la santé et le bien-être des mineurs.

Vos Contributions ne contiennent aucun commentaire offensant lié à la race, l’origine nationale, le genre, l’orientation sexuelle ou un handicap physique.

Vos Contributions ne violent pas autrement, et ne contiennent pas de lien vers du contenu qui viole, une quelconque disposition des présentes Conditions d’utilisation ou toute loi ou réglementation applicable.

Toute utilisation du Site ou des Offres du Marché en violation des dispositions ci-dessus constitue une infraction aux présentes Conditions d’utilisation et peut entraîner, entre autres, la suspension ou la résiliation de vos droits d’accès au Site et aux Offres du Marché.

10. LICENCE SUR LES CONTRIBUTIONS

Vous et le Site convenez que nous pouvons accéder, stocker, traiter et utiliser toute information et donnée personnelle que vous fournissez conformément aux termes de la Politique de confidentialité et à vos choix (y compris les paramètres).

En soumettant des suggestions ou tout autre retour concernant le Site, vous acceptez que nous puissions utiliser et partager ces retours à toute fin, sans compensation pour vous.

Nous ne revendiquons aucun droit de propriété sur vos Contributions. Vous conservez l’entière propriété de toutes vos Contributions ainsi que de tous les droits de propriété intellectuelle ou autres droits de propriété qui y sont associés. Nous ne sommes pas responsables des déclarations ou représentations contenues dans vos Contributions publiées par vous sur toute partie du Site. Vous êtes seul responsable de vos Contributions sur le Site et vous acceptez expressément de nous exonérer de toute responsabilité et de renoncer à toute action en justice contre nous concernant vos Contributions.

11. SOUMISSIONS

Vous reconnaissez et acceptez que toutes les questions, commentaires, suggestions, idées, retours ou autres informations concernant le Site ou les Offres du Marché (« Soumissions ») que vous nous fournissez sont non confidentiels et deviendront notre propriété exclusive. Nous détiendrons tous les droits exclusifs, y compris tous les droits de propriété intellectuelle, et nous aurons le droit d’utiliser et de diffuser librement ces Soumissions à toute fin légale, commerciale ou autre, sans reconnaissance ni compensation pour vous. Vous renoncez par la présente à tous droits moraux relatifs à ces Soumissions et garantissez que ces Soumissions sont originales ou que vous avez le droit de les soumettre. Vous acceptez qu’aucun recours ne pourra être intenté contre nous en cas de violation ou d’appropriation illicite présumée ou réelle de tout droit de propriété sur vos Soumissions.

12. GESTION DU SITE

Nous nous réservons le droit, mais non l’obligation, de :

Surveiller le Site afin de détecter toute violation des présentes Conditions d’utilisation ;

Prendre les mesures légales appropriées à l’encontre de toute personne qui, selon notre seule appréciation, enfreint la loi ou les présentes Conditions d’utilisation, y compris, sans limitation, signaler cet utilisateur aux autorités compétentes ;

À notre seule discrétion et sans limitation, refuser, restreindre l’accès, limiter la disponibilité ou désactiver (dans la mesure technologiquement possible) toute ou partie de vos Contributions ;

À notre seule discrétion et sans limitation, préavis ou responsabilité, supprimer du Site ou autrement désactiver tout fichier ou contenu dont la taille est excessive ou qui constitue une charge pour nos systèmes ;

Gérer le Site d’une manière visant à protéger nos droits et notre propriété et à assurer son bon fonctionnement ainsi que celui des Offres du Marché.

13. POLITIQUE DE CONFIDENTIALITÉ

Nous accordons une grande importance à la confidentialité et à la sécurité des données. Veuillez consulter notre Politique de confidentialité : https://parismyway.com/privacy-policy/. En utilisant le Site ou les Offres du Marché, vous acceptez d’être lié par notre Politique de confidentialité, qui est intégrée aux présentes Conditions d’utilisation.

Veuillez noter que le Site et les Offres du Marché sont hébergés en France. Si vous accédez au Site ou aux Offres du Marché depuis une autre région du monde où les lois ou réglementations relatives à la collecte, l’utilisation ou la divulgation des données personnelles diffèrent des lois applicables en France, votre utilisation continue du Site implique le transfert de vos données en France, et vous consentez expressément à ce que vos données y soient transférées et traitées.

14. DURÉE ET RÉSILIATION

Les présentes Conditions d’utilisation restent en vigueur tant que vous utilisez le Site.

SANS LIMITER AUCUNE AUTRE DISPOSITION DES PRÉSENTES CONDITIONS D’UTILISATION, NOUS NOUS RÉSERVONS LE DROIT, À NOTRE SEULE DISCRÉTION ET SANS PRÉAVIS NI RESPONSABILITÉ, DE REFUSER L’ACCÈS AU SITE ET AUX OFFRES DU MARCHÉ (Y COMPRIS EN BLOQUANT CERTAINES ADRESSES IP), À TOUTE PERSONNE, POUR QUELQUE RAISON QUE CE SOIT OU SANS RAISON, Y COMPRIS, SANS LIMITATION, EN CAS DE VIOLATION D’UNE DÉCLARATION, GARANTIE OU ENGAGEMENT PRÉVU DANS LES PRÉSENTES CONDITIONS D’UTILISATION OU DE TOUTE LOI OU RÉGLEMENTATION APPLICABLE.

Nous pouvons à tout moment, à notre seule discrétion et sans avertissement, résilier votre utilisation ou votre participation au Site et aux Offres du Marché, ainsi que supprimer votre compte et tout contenu ou information que vous avez publiés.

Si nous résilions ou suspendons votre compte pour quelque raison que ce soit, il vous est interdit de vous réinscrire et de créer un nouveau compte sous votre nom, un faux nom, un nom emprunté ou au nom d’un tiers, même si vous agissez pour le compte de ce tiers. En plus de résilier ou de suspendre votre compte, nous nous réservons le droit d’engager toute action légale appropriée, y compris, sans limitation, des poursuites civiles, pénales et des recours en injonction.

15. MODIFICATIONS ET INTERRUPTIONS

Nous nous réservons le droit de modifier, d’altérer ou de supprimer tout contenu du Site, à tout moment et pour toute raison, à notre seule discrétion, sans préavis. Cependant, nous n’avons aucune obligation de mettre à jour les informations présentes sur le Site. Nous nous réservons également le droit de modifier ou d’interrompre tout ou partie des Offres du Marché sans préavis, à tout moment. Nous ne serons en aucun cas responsables envers vous ou un tiers pour toute modification, changement de prix, suspension ou interruption du Site ou des Offres du Marché.

Nous ne pouvons garantir que le Site et les Offres du Marché seront disponibles en permanence. Nous pouvons rencontrer des problèmes techniques, logiciels ou matériels, ou être amenés à effectuer des opérations de maintenance entraînant des interruptions, des retards ou des erreurs. Nous nous réservons le droit de modifier, suspendre, interrompre ou mettre à jour le Site ou les Offres du Marché, à tout moment et pour toute raison, sans préavis. Vous acceptez que nous ne soyons en aucun cas responsables des pertes, dommages ou désagréments résultant de votre incapacité à accéder au Site ou aux Offres du Marché en raison d’une interruption ou d’un arrêt du service.

Aucune disposition des présentes Conditions d’utilisation ne nous oblige à maintenir et à assurer le bon fonctionnement du Site ou des Offres du Marché, ni à fournir des corrections, mises à jour ou nouvelles versions.

16. DROIT APPLICABLE

Les présentes Conditions d’utilisation sont régies et interprétées conformément aux lois françaises, à l’exclusion de l’application de la Convention des Nations Unies sur les contrats de vente internationale de marchandises.

Si votre résidence habituelle se trouve dans l’Union européenne et que vous êtes un consommateur, vous bénéficiez également de la protection offerte par les dispositions impératives de la législation du pays dans lequel vous résidez. Paris MyWay et vous-même acceptez de vous soumettre à la juridiction non exclusive des tribunaux de Paris, ce qui signifie que vous pouvez engager une action en justice pour défendre vos droits en matière de protection des consommateurs en France ou dans le pays de l’UE où vous résidez.

17. RÉSOLUTION DES LITIGES

Négociations informelles

Afin d’accélérer la résolution et de maîtriser les coûts de tout litige, controverse ou réclamation relatif aux présentes Conditions d’Utilisation (chaque “Litige” et collectivement, les “Litiges”) introduits par vous ou par nous (individuellement, une “Partie” et collectivement, les “Parties”), les Parties conviennent de tenter dans un premier temps de négocier informellement tout Litige (à l’exception des Litiges expressément mentionnés ci-dessous) pendant au moins trente (30) jours avant d’entamer une procédure d’arbitrage. Ces négociations informelles commencent dès qu’une Partie envoie une notification écrite à l’autre Partie.

Arbitrage contraignant

Tout litige découlant des relations entre les Parties au présent contrat sera tranché par un arbitre choisi conformément au Règlement d’Arbitrage et aux Règles Internes de la Cour Européenne d’Arbitrage faisant partie du Centre Européen d’Arbitrage ayant son siège à Strasbourg, et qui sont en vigueur au moment où la demande d’arbitrage est déposée, et dont l’adoption de cette clause constitue acceptation. Le siège de l’arbitrage sera Paris, France. La langue de la procédure sera le français. Les règles applicables en matière de droit substantiel seront celles de la France.

Restrictions

Les Parties conviennent que tout arbitrage sera limité au seul Litige entre les Parties. Dans la mesure permise par la loi, (a) aucun arbitrage ne pourra être joint à une autre procédure ; (b) il n’y a aucun droit ou autorité pour qu’un Litige soit arbitré sur une base collective ou pour utiliser des procédures de recours collectif ; et (c) il n’y a aucun droit ou autorité pour qu’un Litige soit présenté en tant que représentant au nom du grand public ou de toute autre personne.

Exceptions aux négociations informelles et à l’arbitrage

Les Parties conviennent que les Litiges suivants ne sont pas soumis aux dispositions ci-dessus concernant les négociations informelles et l’arbitrage contraignant : (a) les Litiges visant à faire respecter ou à protéger, ou concernant la validité de, des droits de propriété intellectuelle d’une Partie ; (b) tout Litige lié à, ou découlant, d’allégations de vol, piraterie, atteinte à la vie privée ou utilisation non autorisée ; et (c) toute demande de mesures injonctives. Si cette disposition est jugée illégale ou inapplicable, aucune des Parties ne choisira d’arbitrer un Litige relevant de cette partie de la disposition jugée illégale ou inapplicable, et ce Litige sera tranché par un tribunal compétent au sein des juridictions listées ci-dessus, les Parties acceptant la compétence personnelle de ce tribunal.

18. CORRECTIONS

Il peut y avoir des informations sur le Site contenant des erreurs typographiques, des inexactitudes ou des omissions concernant les Offres du Marché, y compris des descriptions, des prix, la disponibilité et diverses autres informations. Nous nous réservons le droit de corriger toute erreur, inexactitude ou omission et de modifier ou mettre à jour les informations sur le Site à tout moment, sans préavis.

19. DÉNI DE RESPONSABILITÉ

LE SITE EST FOURNI TEL QUEL ET SELON SA DISPONIBILITÉ. VOUS ACCEPTEZ D’UTILISER LES SERVICES DU SITE À VOS RISQUES ET PÉRILS. DANS LES LIMITES MAXIMALES AUTORISÉES PAR LA LOI, NOUS DÉCLINONS TOUTE GARANTIE, EXPRESSE OU IMPLICITE, EN RELATION AVEC LE SITE ET VOTRE UTILISATION DE CELUI-CI, Y COMPRIS, SANS LIMITATION, LES GARANTIES IMPLICITES DE QUALITÉ MARCHANDE, D’ADAPTATION À UN BUT PARTICULIER ET DE NON-VIOLATION. 16.GOVERNING LAW

These conditions are governed by and interpreted following the laws of France, and the use of the United Nations Convention of Contracts for the InternationalSales of Goods is expressly excluded. If your habitual residence is in the EU, and you are a consumer, you additionally possess the protection provided to you by obligatory provisions of the law in your country to residence. Paris MyWay and yourself both agree to submit to the non-exclusive jurisdiction of the courts of Paris, which means that you may make a claim to defend your consumer protection rights in regards to these Conditions of Use in France, orin the EU country in which you reside.

17.DISPUTE RESOLUTION

Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use (each “Dispute” and collectively, the “Disputes”)brought by either you or us (individually, a “Party” and collectively, the “Parties”),the Parties agree to first attempt to negotiate any Dispute (except thoseDisputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

Binding ArbitrationAny dispute arising from the relationships between the Parties to this contract shall be determined by one arbitrator who will be chosen in accordance with the Arbitration and Internal Rules of the European Court of Arbitration being part of the European Centre of Arbitration having its seat in Strasbourg, and which are in force at the time the application for arbitration is filed, and of which adoption of this clause constitutes acceptance. The seat of arbitration shall be Paris, France. The language of the proceedings shall be French. Applicable rules of substantive law shall be the law of France.

RestrictionsThe Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to Informal Negotiations and ArbitrationThe Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

18. CORRECTIONS

There may be information on the Site that contains typographical errors, inaccuracies, or omissions that may relate to the Marketplace Offerings, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Site at any time, without prior notice.

21.INDEMNIFICATION
